// 1. PARTIES This Non-Disclosure Agreement ("Agreement") is entered into between 11TOWN.COM ("Disclosing Party"), a business operating in Malaysia, and the undersigned ("Receiving Party"). // 2. DEFINITIONS "Confidential Information" means all non-public information disclosed by 11TOWN.COM, including but not limited to: business strategies, trade secrets, technical specifications, code, automation workflows, client lists, and pricing structures. // 3. OBLIGATIONS The Receiving Party agrees to: > Protect Confidential Information with reasonable care. > Not disclose Confidential Information to any third party without written consent. > Use Confidential Information only for the performance of agreed services. > Not use the information for competing services or resale. // 4. INTELLECTUAL PROPERTY All work product, code, and designs created by 11TOWN.COM remain the exclusive property of 11TOWN.COM unless expressly agreed otherwise. // 5. TERM This Agreement is effective upon signing and continues for a period of 5 years from the date of disclosure. // 6. GOVERNING LAW This Agreement shall be governed by the laws of Malaysia. Both parties consent to the exclusive jurisdiction of the courts of Malaysia.
